General Terms & Conditions

Perennis, Brave Hearts Rising Together

Perennis is a company established under Belgian law, with its registered office at Zeedijk 211, 0602, 8430 Middelkerke, registered in the Crossroads Bank for Enterprises (KBO) under number BE 0829.603.485 (hereinafter: “Perennis”). The activities, courses, training sessions, programmes and trajectories of Perennis are marketed and organised under the commercial name “Brave Hearts - Rising Together” (hereinafter: “Brave Hearts”). Wherever Perennis is referenced in these terms, this also covers all activities operating under the banner of Brave Hearts Rising Together.

In these terms, “the Activity” means any course, training session, education programme, trajectory, workshop, online course, membership, community access or (live) event organised or offered by Perennis. “Participant” or “client” means any natural or legal person who registers for or purchases an Activity. A “consumer” is a participant acting for purposes outside their trade, business or profession.

1. Applicability

1.1. These general terms and conditions apply to every offer, registration, purchase and agreement between Perennis and the participant/client regarding the Activities, whether concluded online or offline.

1.2. By registering for or purchasing an Activity, the participant accepts these terms. Deviations are only valid if expressly agreed in writing by Perennis. The version of these terms applicable to an agreement is the version in force at the time of registration.

2. Registration Procedure and Formation of the Agreement

2.1. Registration for an Activity can - depending on the type of offer - take place via: (i) a direct online registration or order form, (ii) a direct online sales page with a payment button, or (iii) a selection or application procedure (application).

2.2. Formation of the agreement:

2.3. Places are generally allocated in the order of receipt of the definitive registration or payment. If an Activity is fully booked, the applicant is automatically placed on a waiting list, and available places are offered in chronological order. If no place becomes available, the registration is cancelled free of charge and any payments already made are fully refunded.

3. Prices and VAT

3.1. All prices include VAT, unless indicated otherwise. The price applicable to an agreement is the price displayed at the time of registration.

3.2. Unless explicitly stated, the price covers only the Activity itself and not any additional costs such as travel, transfers, accommodation, meals, materials or insurance.

4. Invoicing and Payment Terms

4.1. Immediate payment via the sales page (main rule). When registering via an online sales page, payment must be completed immediately and in full using the provided online payment methods (such as Bancontact, credit card, iDEAL, etc.) before the registration is finalised. The participant then automatically receives a confirmation and the corresponding invoice by e-mail.

4.2. Payment after invoicing (exception, e.g. for applications or manual bookings). If payment is not processed directly online, the client receives an invoice by e-mail after approval or confirmation of the registration. Unless explicitly stated otherwise on the invoice, these invoices must be paid within 14 calendar days from the invoice date, and in any event prior to the start of the Activity.

4.3. Late payment by businesses (B2B). In the event of non-payment by the due date by a client acting within the scope of their professional or business activity, late payment interest of 1% per commenced month is due automatically and without prior notice. In addition, a flat-rate compensation of 10% of the outstanding invoice amount (with a minimum of EUR 50) is due for administrative follow-up, without prejudice to Perennis’s right to prove actual damages.

4.4. Late payment by consumers (B2C). In accordance with Book XIX of the Belgian Code of Economic Law, if a consumer fails to pay on time, Perennis first sends a free reminder (serving as formal notice of default). The consumer then has a renewed period of 14 calendar days, starting on the third working day after the reminder is sent, to settle the payment without any additional cost, and during which the amounts due may be disputed. Only after this period may default interest at the statutory rate and a fixed compensation be charged, capped at the legal maximums (EUR 20 for amounts up to EUR 150; EUR 30 plus 10% of the amount between EUR 150.01 and EUR 500; EUR 65 plus 5% of the amount above EUR 500, with an overall maximum of EUR 2,000).

4.5. Reciprocity. Where Perennis owes the consumer a sum (for example a refund) and pays late, the consumer is entitled to interest and compensation on an equivalent basis and under the same conditions.

4.6. Refusal of access. In the absence of full and timely payment prior to the start of the Activity, Perennis reserves the right to deny the participant access to the Activity (or the online learning environment), whereby the client’s payment obligation remains entirely unaffected.

5. Right of Withdrawal (Consumers)

5.1. In accordance with Article VI.47 of the Belgian Code of Economic Law, a participant acting as a consumer has the right to withdraw from the online booking within 14 calendar days from the day of registration, free of charge and without giving any reason.

5.2. If the Activity (as a service) commences within this 14-day period and the consumer has expressly requested that performance begin, the consumer declares to waive the right of withdrawal once the Activity has been fully performed.

5.3. If the consumer exercises the right of withdrawal after having expressly requested the service to begin (for example by the immediate launch of the application procedure, the granting of access to an online learning environment, or the reservation of a personalised trajectory), the consumer owes Perennis an amount proportional to what has already been delivered at the time of withdrawal. In that case, a fixed administrative fee of EUR 25 is charged for the administrative start-up and processing already performed.

5.4. Digital content (online courses, downloads, recordings). For digital content not supplied on a tangible medium, the consumer expressly agrees that performance begins immediately upon purchase and expressly acknowledges that, by doing so, the right of withdrawal is lost once access has been granted. Perennis confirms this consent on a durable medium (by e-mail). After access has been granted, no refund is due.

5.5. Easy cancellation function. For online subscriptions and continuous services concluded electronically, Perennis provides an easily accessible withdrawal/cancellation function within the online environment, in line with applicable consumer law.

5.6. The right of withdrawal does not apply to registrations made within the framework of a professional or business activity (B2B).

6. Subscriptions and Recurring Payments

6.1. Certain offers (such as the community or memberships) are provided on a subscription basis with recurring payments. The subscription runs for the chosen period and renews automatically for the same period unless cancelled.

6.2. The participant may cancel an open-ended or tacitly renewed subscription at any time after the initial term, with a notice period of no more than two months, through the same channel by which the subscription was concluded (including online or by e-mail).

6.3. Price changes are notified at least 30 days in advance; the participant may terminate the subscription before the new price takes effect.

6.4. If a recurring payment fails, Perennis notifies the participant and may suspend access until payment is completed; the payment obligation for the current period remains due.

7. Cancellation by the Participant

7.1. Outside of the statutory right of withdrawal (where applicable), a registration can only be cancelled in writing (by e-mail to info@bezieldleven.com). The date of receipt of the e-mail serves as the official cancellation date.

7.2. Since Perennis incurs organisational costs and holds places open, the following flat-rate costs are charged in the event of cancellation by or on behalf of the participant:

7.3. The participant is permitted - subject to prior written agreement from Perennis - to designate a replacement participant up to 48 hours before commencement, provided this replacement meets any entry requirements. In that case, no additional cancellation costs are charged.

8. Modification or Cancellation by Perennis (Force Majeure and Minimum Attendance)

8.1. Perennis reserves the right to postpone, relocate or cancel an Activity if the minimum required number of participants is not reached, or in case of force majeure (such as illness of the instructor, extreme weather conditions, or government measures).

8.2. In the event of a modification or cancellation by Perennis, registered participants are informed immediately and in writing (by e-mail).

8.3. In the event of force majeure, Perennis may, instead of cancelling, offer a reasonable alternative such as an online edition, a replacement date or an equivalent Activity. Where the alternative materially differs from what was booked, the consumer may decline and receive a full refund of amounts paid.

8.4. If an Activity is completely cancelled by Perennis without an alternative being accepted, amounts already paid are fully refunded within 14 days. In that case, the participant is not entitled to any additional compensation or indemnification.

9. Online Courses, Digital Content and Intellectual Property

9.1. All course materials, recordings, workbooks, methods, texts and content provided by Perennis (online or offline) remain the exclusive intellectual property of Perennis or its licensors. Upon registration, the participant receives a personal, non-transferable and non-exclusive right to use this material for their own development for the duration of the Activity.

9.2. It is not permitted to copy, share, resell, publish, record or make available to third parties any material or session (including screen recordings and content shared within the community) without the prior written consent of Perennis.

9.3. Access to online environments is strictly personal; sharing login details is prohibited. Perennis may withdraw access in the event of misuse, without refund.

10. Online Community

10.1. Access to the online community is conditional on respectful conduct. Harassment, hate speech, spam, unsolicited promotion and the sharing of other members’ personal information are not permitted.

10.2. Perennis may moderate, edit or remove content, and may suspend or permanently remove a member who breaches these guidelines, without refund and without prejudice to any other rights.

10.3. What members share within the community is confidential. Participants agree not to disclose or use other members’ personal stories or information outside the community.

11. Live Events

11.1. Unless explicitly stated, the price of a live event covers only the programme itself and not travel, transfers, accommodation, meals or insurance. Participants arrange their own travel and are strongly advised to take out travel and cancellation insurance.

11.2. Participants must follow the house rules of the venue and the reasonable instructions of Perennis. Perennis may remove a participant who endangers others or seriously disrupts the event, without refund.

11.3. Participants are responsible for informing Perennis in advance of any allergies, dietary requirements or relevant medical conditions.

12. Nature of the Services - No Medical or Psychological Treatment

12.1. The coaching, spiritual and wellbeing support offered by Perennis is aimed at personal and professional growth. It is not medical care, psychotherapy, or a diagnosis or treatment of any physical or mental health condition, and it does not replace professional medical, psychological or psychiatric advice.

12.2. Participants are responsible for assessing their own physical and mental fitness to take part. If you are experiencing health complaints (including burnout, or psychological or psychiatric conditions), you should consult a qualified healthcare professional; Perennis may recommend you do so or decline participation. Participation is always at the participant’s own responsibility.

12.3. Perennis commits to an obligation of means (best-efforts obligation) and cannot be held liable for whether or not the participant achieves certain personal or business results.

13. Third-Party Practitioners

13.1. Certain Activities may feature independent guest practitioners, healers or facilitators who are not employees of Perennis. Such third parties act under their own responsibility, professional judgement and (where applicable) their own insurance and licensing.

13.2. Perennis acts solely as organiser and facilitator and is not liable for the acts, omissions, advice or treatments of these independent third parties. Any agreement regarding their specific services is entered into between the participant and the third party.

14. Image and Recordings

14.1. Perennis may take photos or video during live events and online sessions for documentation and promotional purposes. Recognisable images of a participant are only used with that participant’s consent; consent may be withdrawn at any time for future use by contacting Perennis.

14.2. Participants may not record (audio or video) sessions, nor photograph or share images of other participants, without the prior consent of Perennis and the persons concerned.

15. Privacy and Data Protection

15.1. Perennis processes personal data in accordance with the General Data Protection Regulation (EU 2016/679) and applicable Belgian law. The data collected (such as name, contact details, payment data and, where relevant, information shared within a trajectory) is used solely to perform the agreement, manage participation and meet legal obligations.

15.2. Where Perennis processes any sensitive information a participant voluntarily shares in the context of coaching or wellbeing support, this is done only with consent and treated as strictly confidential.

15.3. The participant has the right to access, rectify, erase, restrict and port their data, and to object to its processing. Full details are set out in the Privacy Policy, available at Privacy Policy. Questions can be directed to info@bezieldleven.com.

16. Liability

16.1. Nothing in these terms excludes or limits Perennis’s liability for death or personal injury caused by its fault, for fraud or intentional misconduct, or any other liability that cannot be excluded under mandatory Belgian law.

16.2. Subject to clause 16.1, and except in the case of intent or gross negligence on the part of Perennis or its agents, Perennis is not liable for material damage or accidents occurring during, before or after the Activities.

16.3. Perennis is not liable for the loss, theft, damage or destruction of participants’ personal property during the Activities or at the venue. Participants are expected to look after their own belongings.

16.4. Participants bear personal responsibility for assessing whether they are physically and mentally capable of taking part and must, where desired, ensure they have appropriate personal liability and/or accident insurance.

16.5. Subject to clause 16.1, in all cases where Perennis is found liable, the total compensation for damages is limited to direct damage and to a maximum of the amount paid by the participant for the relevant Activity.

17. Participant Obligations and Access

17.1. Perennis may refuse or withdraw access to an Activity, the online environment or the community where a participant seriously or repeatedly breaches these terms, or engages in inappropriate or unsafe conduct, without this giving rise to any refund and without affecting the participant’s payment obligations.

18. Complaints and Dispute Resolution

18.1. Complaints can be submitted in writing to info@bezieldleven.com. Perennis aims to respond within 14 days.

18.2. If a dispute between Perennis and a consumer cannot be resolved amicably, the consumer may turn to the Belgian Consumer Mediation Service (Consumentenombudsdienst, North Gate II, Koning Albert II-laan 8, 1000 Brussels - www.consumentenombudsdienst.be). This does not affect the consumer’s right to bring the matter before the competent court.

19. Minors

19.1. Participation is intended for persons aged 18 and over. Registration by or on behalf of a minor requires the prior written consent of a parent or legal guardian, who accepts these terms on the minor’s behalf.

20. Amendments to these Terms

20.1. Perennis may amend these terms. The version applicable to an agreement is the one in force at the time of registration. Amendments do not apply retroactively to the disadvantage of an ongoing trajectory.

21. Severability

21.1. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions remain in full force. The invalid provision will be replaced by a valid provision that most closely reflects its original intent.

22. Applicable Law and Competent Court

22.1. All legal relationships between Perennis and the participant/client are governed exclusively by Belgian law.

22.2. In the event of disputes that cannot be settled amicably, exclusive jurisdiction is granted to the courts of the judicial district where the registered office of Perennis is established. This does not affect any mandatory rights of the consumer to address the courts of their own place of residence.
